Scope: These General Terms and Conditions (GTC) apply to all services provided by Julia Dencker – The Peaceful Path (hereinafter “Contractor”) to business clients (non-consumers), hereinafter referred to as “Client.”

1. Conclusion of Contract

The contract is concluded when the Client accepts the Contractor’s offer (via email, phone, post, or online form). No specific form is required. Upon sending the order confirmation by the Contractor, the offer becomes binding. No right of withdrawal exists.

2. Services & Obligations

2.1 Services of the Contractor
The Contractor provides conflict analysis, conflict resolution, peacebuilding, and advisory services, including but not limited to:

  • Individual interventions (e.g., coaching, workshops)

  • Conflict analyses with initial assessment reports

  • Long-term support (3–12 months) for sustainable conflict resolution

  • Formats: workshops, lectures, seminars, training, 1:1 coaching, consulting sessions

  • Methods (including): conflict analysis, resolution processes, participatory methods, embodiment techniques, guided conversations

2.2 Client Obligations
The Client provides all necessary information, grants access to relevant workflows, and releases employees for collaboration.

3. Fees & Payment Terms

3.1 Prices
Fees depend on the type, scope, and duration of the agreed services and are set in the individual offer.

Standard price references (unless otherwise agreed):

  • Workshops: from €95/hour

  • Consulting: €110/hour

  • Coaching: €110/75 min

  • Daily rate:

    • €660 for clients from non-profit, social, or charitable sectors (Category 1)

    • €900 for companies, authorities, and financially stronger organizations (Category 2)

Daily rates apply from five hours of on-site presence and include preparation and follow-up time.

Other services (unless agreed otherwise):

  • Conflict analyses: from €1,500

  • Conflict resolution / interventions:

    • 3 months: from €2,800

    • 6 months: from €4,500

    • 12 months: from €8,500

  • Evaluation processes: from €1,500

  • Lectures & keynotes: from €150/hour

All prices are net, excluding applicable VAT. Final scope and price are defined in the individual offer.

3.2 Payment Terms
Payment modalities are specified in the offer. Options may include:

  • Lump sum: 5% discount for full upfront payment

  • Installments: equal monthly payments over the agreed period

  • 30/70 split: 30% before project start, 70% upon delivery of final report or last service

Invoices are due within 14 days. Late payment is subject to statutory interest and fees.

3.3 Additional Costs
Additional costs may apply for:

  • Travel & accommodation (for journeys over 1.5 hours)

  • Materials & supplies beyond usual requirements

  • External services (e.g., co-moderators, translators, room rental)

3.4 Cancellation

  • Individual sessions: free up to 48 hours prior; otherwise full fee

  • Workshops/multi-day events:

    • 21+ days: free

    • 8–20 days: 50% fee

    • <7 days or no-show: 100% fee

  • Already incurred extra costs (travel, materials, third parties) must be reimbursed

Cancellation by the Contractor due to illness or force majeure will be rescheduled if possible. Prepaid amounts for unperformed services are refunded. No further claims apply.

4. Term & Termination

The term is based on the booked package or agreed contract duration. Ordinary termination is not provided for defined packages (3, 6, 12 months).

Extraordinary termination is only possible for serious breaches (e.g., breach of trust, data protection violation, gross negligence).

In cases of early termination for reasons not caused by the Contractor, services already rendered are billed proportionally; unperformed services are not charged.

5. Liability & Warranty

5.1 Limitation of Liability
The Contractor is liable only for intent or gross negligence. No guarantee is given for conflict resolution, peacebuilding, or workshop outcomes. Success depends on participant engagement and external factors.

5.2 Group Formats & Events
Liability for participant damages during workshops, seminars, or events applies only in case of proven intent or gross negligence. Liability for minor negligence, including indirect damages, is excluded.

5.3 Insurance
The Contractor holds professional liability insurance. Additional insurance (e.g., participant accident insurance) is the responsibility of the client.

6. Confidentiality & Data Protection

All personal and organizational data are processed in compliance with GDPR. All information shared during consulting, workshops, or coaching is confidential and may only be used internally. External disclosure or publication requires written consent. See the privacy policy for business clients for details.

7. Copyright & Usage Rights

All materials (analyses, training documents, presentations, handouts) are copyrighted. The Client may use them internally only. External distribution or public use requires written consent. All other rights remain with the Contractor.

8. Final Provisions

8.1 Severability
If any provision is invalid or unenforceable, the remaining provisions remain fully effective.

8.2 Jurisdiction & Governing Law
Jurisdiction: Quedlinburg, Germany. German law applies.

8.3 Amendments
Changes to these GTC will be communicated at least 4 weeks before taking effect.

Note: The success of conflict resolution, workshops, coaching, or interventions depends on the active participation of all involved. The Contractor provides no guarantee of outcomes.
